PACIFICHERITAGE.COM Affiliate Agreement This PacificHeritage.com Affiliate Agreement contains the terms and conditions of an individual's or entity's participation in our PacificHeritage.com Affiliate Program. As used in our Agreement, "we" or "us" means PacificHeritage.com, and "you" means the applicant. "Site" means a World Wide Web site and refers either to PacificHeritage.com's site located at the URL www.PacificHeritage.com, any other domain name that we own or to your linked site. Enrollment in PacificHeritage.com Affiliate Program After you submit a PacificHeritage.com Affiliate Program Application to us, you will be given an affiliate code to use on your site. If we accept your application and your site is hereafter determined to be unsuitable for our PacificHeritage.com Affiliate Program, we will terminate our Agreement. Your Link To PacificHeritage.com Your general link will be to the PacificHeritage.com Home Page. You may provide a general link on your site to our Home Page by using the following HTML code: <a href="http://www.aitsafe.com/go.htm?go=www.pacificheritage.com&afid=AffiliateCode&tm=1&im=1" target="_top">Shop for Religious Statues Online</a>. (replace AffiliateCode with the USerid assigned to you during signup) Please view our Instructions Page in linking to our PacificHeritage.com Home Page for detailed instructions We will give you link formats to be used in the links from your site to ours. You will need to ensure that the links between your site and our PacificHeritage.com site properly uses our special link formats. This is the only way that you may earn referral fees on all activity from your site linked to ours. PacificHeritage.com Order Processing and Referral Fees We process orders, take payments, and handle customer service. We track all sales made by customers linking to our site from yours and pay you accordingly. For you to earn a referral fee, the customer must take the link from your site to our site, select and purchase items at PacificHeritage.com using our automated ordering system, give us full payment for the items, and then accept delivery at the shipping destination. Cancellations or returns will not be paid a commission; or may be deducted from future earnings if a referral fee has been paid. PacificHeritage.com Referral Fee Schedule And Payment You earn a 20% PacificHeritage.com referral fee for qualifying sales of our products*, excluding costs for shipping and handling, credit card processing fees, taxes and bad debt. Gift Certificates are not eligible to earn fees. We also offer a secondary affiliate program. A 25% referral fee is paid to you for any sales generated from purchases of a web-site recruited by you to join our program. (Refer to FAQ for example) PacificHeritage.com pays referral fees on a monthly basis. Approximately 15 days following the end of each month, we will send you a payment through Paypal for the referral fees earned on sales of products that were sold and shipped during that month through means of the link from your site to PacificHeritage.com. If a product that generated a referral fee is returned by one of our customers, we will deduct that corresponding referral fee from your next monthly payment. If there is no subsequent payment, we will send you a bill for the referral fee. PacificHeritage.com Policies and Pricing Any customer who buys product through our PacificHeritage.com website is considered to be our customer. All of PacificHeritage.com's rules, policies, and operating procedures concerning customer service and product sales apply to these customers. We reserve the right to change our policies and operating procedures at any time. Since we determine the prices charged for products sold with our own pricing policies, product prices and availability may vary from time to time. Because price changes may affect the PacificHeritage.com products that you may have listed on your site, you are responsible for making sure that any product information you place on your site is accurate. In the case of a discrepancy, the product information on our site is considered correct. We make every effort to present accurate information, but we cannot guarantee the availability or price of any particular PacificHeritage.com product. Being a PacificHeritage.com Affiliate And Limited License You may choose from a selection of PacificHeritage.com graphic images that identifies your site as a PacificHeritage.com Affiliate. You must display the PacificHeritage.com logo or the phrase "We are a PacificHeritage.com Affiliate" somewhere on your site. We may modify our text or graphic image of this notice from time to time. We give you a nonexclusive, revocable right to use our graphic image and text, solely for the purpose of identifying your website as a PacificHeritage.com Affiliate and to assist you in creating PacificHeritage.com product sales. You may not modify text or any graphic images of the PacificHeritage.com in any way. We reserve all of our rights and all other intellectual property rights in our graphic images, texts, our trade name, trademarks, and any other of our images. PacificHeritage.com may revoke your license at any time by giving you written notice. Without our prior written consent, you may not make any press release with respect to this PacificHeritage.com Affiliate Agreement or your participation in the PacificHeritage.com Affiliate Program without our prior written consent, which may be given or withheld in our sole discretion. Your Responsibility For Your Website You are solely responsible for everything concerning your site operations, development, maintenance, contents and for the accuracy of information regarding PacificHeritage.com. PacificHeritage.com disclaims all liability for anything connected with your site. You must ensure that materials on your site do not violate or infringe upon the rights of any third party, including copyrights, trademarks, privacy, proprietary, and personal rights. You must ensure that no libelous or otherwise illegal materials or activities happen on or through your site. PacificHeritage.com disclaims all liability for these matters and you will indemnify and hold us harmless from all claims, damages, and expenses(including, without limitation, attorney's fees) relating to the contents, maintenance, development, and operation of your site. Term Of the PacificHeritage.com Affiliate Agreement This PacificHeritage.com Affiliate Agreement begins upon our acceptance of your application and will end when terminated by either party. You or we may terminate this PacificHeritage.com Affiliate Agreement at any time, with or without cause, by giving the other party written notice. Upon the termination of this Affiliate Agreement for any reason, you will immediately cease to, and will remove from your site, any and all links to PacificHeritage.com, all PacificHeritage.com trademarks, logos, and any and all other materials provided by us to you in connection with the PacificHeritage.com Affiliate Program. You are only eligible to earn referral fees on PacificHeritage.com sales of products sold during the term. Referral fees earned through the date of termination will be paid only if all related orders are not canceled or returned. To ensure that the correct amount is paid to you, we may withhold your final payment for a reasonable time. Modification We may modify any or all of the terms and conditions in this PacificHeritage.com Affiliate Agreement at any time and in our sole discretion, by posting the changes in the new PacificHeritage.com Affiliate Agreement on our site. Modifications may include any changes in the available referral fees, referral fee schedules, payment procedures, and PacificHeritage.com Affiliate Agreement rules. Though PacificHeritage.com desires a continuous relationship with you, our affiliate, if any changes are unacceptable to you, your only recourse is to terminate this PacificHeritage.com Affiliate Agreement. Your continued participation in our PacificHeritage.com Affiliate Program, after any changes, will constitute your binding acceptance of any changes. PacificHeritage.com Relationship With Affiliates Nothing in the PacificHeritage.com Affiliate Program creates any type of joint venture, partnership, franchise, agency, sales representative, or employment relationship between the parties. You have no authority to accept or make any offers or representations on our behalf. Whether on your site or anywhere, you will not make any statement that would reasonably contradict anything in this PacificHeritage.com Affiliate Agreement. Limitation of PacificHeritage.com Liability PacificHeritage.com will not be responsible or liable for indirect, special, consequential damage, any loss of revenue, profits, or data arising in relationship with this PacificHeritage.com Affiliate Agreement, even if we were advised of the possibility of such damages. PacificHeritage.com aggregate liability arising with respect to this PacificHeritage.com Affiliate Agreement will not exceed the total referral fees paid or to be paid to you under this Affiliate Agreement. Disclaimers PacificHeritage.com makes no express or implied warranties or representations with respect to our Affiliate Program or to any products sold through PacificHeritage.com., including, without limitation, warranties of merchantability, noninfringement, fitness, or any implied warranties arising out of a course of performance, dealing, or trade usage. Also, PacificHeritage.com makes no representation that the operation of our site will be uninterrupted or error-free, and we will not be responsible or liable for the consequences of any errors or interruptions. Independent Investigation You understand that directly or indirectly, we may at any time solicit customer referrals on conditions that may be different from those contained in this PacificHeritage.com Affiliate Agreement or may operate websites that compete or are similar to your website. You acknowledge that you have read this PacificHeritage.com Affiliate Agreement and you agree to all its conditions and terms. You further acknowledge that you have evaluated independently the desirability of participating in the PacificHeritage.com Affiliate Program and that you are not relying on any representation, statement, or guarantee other than as set forth in this PacificHeritage.com Affiliate Agreement. Miscellaneous This PacificHeritage.com Affiliate Agreement will be governed by the laws of the United States and the State of California, without reference to rules governing choice of laws. Any action relating to this Agreement must be brought in the Federal or State courts located in Los Angeles, California, and you irrevocably consent to the jurisdiction of such courts. You may not assign this PacificHeritage.com Affiliate Agreement, by operation of law or otherwise, without our prior written consent. Subject to that restriction, this PacificHeritage.com Affiliate Agreement will be binding on, inure to the benefit of, and enforceable against the parties and their respective successors and assigns. PacificHeritage.com failure to enforce your strict performance of any provision of this PacificHeritage.com Affiliate Agreement will not constitute a waiver of our right to subsequently enforce such provision or any other provision of this PacificHeritage.com Affiliate Agreement.
